The NDIS Subcontractor Agreement is a template-independent contractor’s agreement for a Principal (business) employing an independent contractor/subcontractor to work with NDIS clients.
This Template is a general template drafted for Australian laws.
You are required to enter in all party details of the contractor/subcontractor arrangement including scope of services, fees, payment terms and governing law. You are prompted to do this where the text is red in the agreement.
Note that an independent contractor’s agreement does NOT create the same employment relationship between the parties as an employment agreement. As a result, a contractor/subcontractor remains responsible for superannuation, insurance, tax and other leave entitlements and can only collect the agreed Price under the contractor’s agreement. Before using this Agreement template, we suggest you review the Australian Tax Office guidelines for an independent contractor to ensure that your proposed contracting agreement will not be classed as an employee and employer relationship.
The NDIS Subcontractor Agreement / Contractor Agreement template contains clauses which set out:
the obligations of the contractor/subcontractor and the principal (the person using the services of the contractor, i.e. you!)
a confirmation that it is a contractor/subcontractor agreement rather than employment relationship (but see our note above as to the ATO test regarding contractors and employees - you need to be very clear you aren’t really hiring an employee)
details of the records the contractor/subcontractor must keep of hours and clients visits
GST clauses along with the price and payment terms;
reference to the NDIS code of conduct
protection where the contractor/subcontractor is required to access your IT systems and use passwords or access confidential information
protection of your business intellectual property rights;
insurance requirements
indemnities for you
confidentiality
